SIRIUS Satellite Radio Announces Post-Merger Financial Guidance for the Combined Company

Expects 2009 Total Net Synergies of $400 Million
Expects 2009 Adjusted EBITDA of $300 Million
Expects Positive Free Cash Flow, before Satellite Capital Expenditures, for 2009

SIRIUS Satellite Radio today announced financial guidance for 2009 assuming the completion of the merger of SIRIUS and XM Satellite Radio Holdings Inc. Based upon the company’s preliminary analysis, it announced that:

– Total synergies, net of the costs to achieve such synergies, for the combined company are expected to be approximately $400 million in 2009;

– Adjusted EBITDA for the combined company is expected to be approximately $300 million in 2009. Adjusted EBITDA is net income/(loss) before interest and investment income, interest expense (net of amounts capitalized), depreciation expense, and non-cash stock compensation expense; and

– The combined company is expected to achieve positive free cash flow, before satellite capital expenditures, for the full year 2009.

To date, neither SIRIUS nor XM has reported positive adjusted EBITDA or achieved free cash flow for a full year.

“The upside potential from this merger is significant. In addition, the synergies, adjusted EBITDA and free cash flow are expected to continue to grow in subsequent years, and we look forward to providing more detail of this growth in coming months,” said Mel Karmazin, SIRIUS Chief Executive Officer and the previously announced CEO of the combined SIRIUS and XM.

The closing of the pending merger remains subject to the approval from the Federal Communications Commission and satisfaction of other applicable conditions, including the refinancing of certain XM debt. On March 24, 2008, the U.S. Department of Justice informed SIRIUS and XM that it had ended its investigation into the pending merger, that it had concluded that the merger is not anti-competitive, and that it will allow the transaction to proceed. SIRIUS and XM each obtained stockholder approval for the pending merger in November 2007.

The company’s financial guidance for total net synergies, adjusted EBITDA and free cash flow assumes, among other things: that the merger will be consummated in the third quarter of 2008; that XM will incur certain incremental interest expense as a result of refinancing certain of its debt; that the combined company will realize certain additional advertising and subscriber revenue synergies as a result of the merger; and that the combined company will achieve cost savings and efficiencies in nearly all aspects of its operations. No assurance can be given that any of these objectives will be met or that the amount of incremental interest at XM will not exceed that anticipated by the company. Furthermore, the company’s financial guidance also assumes that the combined company will, following the consummation of the merger, immediately take steps in nearly all operational areas to rationalize its operations and realize the expected synergies in a timely manner, but no assurance can be given that the necessary measures to realize expected synergies will be implemented in a timely manner.

When the merger was structured, the parties determined that SIRIUS would be the surviving public parent company and that XM would become a subsidiary of SIRIUS. As a result, the preponderance of XM’s existing debt will require refinancing in connection with the merger. Because of the refinancing, the combined company expects XM to incur incremental interest expense as a result of refinancing certain of its debt. Principally as a result of this higher interest expense at XM, among other factors, substantially more of the free cash flow before satellite capital expenditures in 2009 is forecast to be realized at SIRIUS, the parent company, than at XM. In addition, SIRIUS and XM expect to refinance certain debt in 2009 that is scheduled to mature during that year.

Anyone who subscribes to Sirius should log into their account and check out the package you are currently subscribed to.

“The Sirius Everything Package” I have never seen that before. Is this a sign of the future?

iPhone gets Streaming Sirius Satellite Radio

Similar to iRadio, uSirius lets people stream Sirius Satellite Radio to their iPhones over Wi-Fi or EDGE (and shortly, 3G). Reader Brandon says that anyone can try this out for free for three days before registering, and that it works great over both connection types. Our own Benny Goldman went nuts when he saw this, so you Sirius fans should go equally nuts when you load this on your phones. But in a, you know, less hairy way. Grab it on Installer.app.

Sirius-XM Merger Approval May Hinge Upon FCC’s Tate

Sirius Satellite Radio Inc. bid to buy XM Satellite Radio Holdings Inc. may depend on a regulator who says she sometimes struggles to find a balance between the needs of consumers and industry.

Deborah Taylor Tate, one of three Republicans on the five- member Federal Communications Commission, may be the swing vote as the agency considers whether to approve the merger of the only two U.S. pay-radio companies, and under what conditions, said Stifel Nicolaus & Co. analyst Blair Levin.

“It’s not clear what she would want,” said Levin, a former FCC chief of staff who is based in Washington. Republican FCC Chairman Kevin Martin recommended approval of the merger on June 16, and the remaining Republican member, Robert McDowell, “pretty clearly” will vote for the takeover, Levin said.

In the mean time all we can do is sit back and play the waiting game while the NAB continues to stall the merger.

When an item hits the FCC’s Items on Circulation, that means it’s now being formally passed to the four other FCC Commissioners. A final vote on the transaction could come in as little as three weeks from the date of Circulation (6/17). The timing depends on how the first two Commissioners vote, but traditionally, the final two Commissioners have ten days after the first two votes to make their decision.

Both Sirius and XM’s stocks have been falling like a 100lb Weight from an Airplane.

Right now Sirius is at 1.99 and Xm at 8.28 per share.

The only thing I can suggest for Current stock owners is to stick it out, I believe we will hear about the merger soon. It’s a shame a company like Goldman Sachs can have this much of an effect on stock prices.

On a good note Cowen & Co totally disagree with Goldman and have nothing but positive comments on the pending merger.

Changes to the Sirius Lineup Start June 24th

What to know:
When you turn your radio on the morning of June 24, it may need 2 - 5 minutes to receive the update from our satellites. During this time, the audio you hear may not match what is shown on your display and you may see messages such as “updating channels” on your radio’s display.

While the changes are being updated to your radio, please do not change channels as this will delay the update from completing.

This upgrade will affect some existing channel numbers, so you may need to update your presets on June 24.

Sports Play-By-Play Block FAQ:
Q: How do I know if my radio gets the new sports block?
A: On or after June 24, tune your radio to channel 175. If you get this channel (you
hear audio), you have the new sports block.

Q: Do I still get all the sports play-by-play live games if my radio doesn’t
get the new channel block?

A: Yes. You will still get all the sports that SIRIUS broadcasts, just as you do today.
The new sports block is just a convenient way for some radios to find the games.

Q: Are there any exceptions?
A. Yes. Notre Dame games will remain on Ch. 159, and Ch. 184 remains SIRIUS
Weather and Emergency. Additionally, Stiletto 100 and Stiletto 10 do not support
the
sports block at this time.

Q: If my radio gets the new sports block, will the channels that were
previously pre-empted for games now play their regular programming?

A: No. Those channels will still be pre-empted during live games.

Q: I set the Giants as my favorite team so the radio alerts me when the
Giants are playing. Will I still get my alert?

A: Yes, absolutely. You won’t miss a game!

FOX Business Network to Air on XM Satellite Radio

FOX Business Network (FBN) and XM Satellite Radio today announced that
FBN will begin airing nationwide on XM on July 14. XM, the nation’s
leading satellite radio company with more than 9.3 million subscribers,
will air FBN across the U.S. on XM channel 128.

In making the joint announcement, XM executive vice president of
programming Eric Logan said, “FOX Business brings a great line-up of
business news and analysis for XM listeners nationwide. This is the
latest milestone in a long and productive partnership between FOX News
and XM.”

Kevin Magee, executive vice president, FOX News, added, “FOX News
and FOX News Talk are two popular XM radio channels and we are pleased
to offer this additional service for listeners. With XM radio, people
can access FOX Business and track their investments, wherever they are.”

Launched in October 2007, FBN is a financial news channel delivering
real-time business news across all platforms that impact both Main
Street and Wall Street. Home to leading financial journalists such as
Neil Cavuto, Alexis Glick, David Asman and Liz Claman, FBN is the
latest addition to XM’s 170-plus radio channels, which include FOX News
(XM 121) and FOX News Talk (XM 168).

Mel Karmazin meets with FCC again yesterday

In accordance with Section 1.1206 of the Commission’s rules, 47 C.F.R. § 1.1206,
and the Commission’s Public Notice dated March 29, 2007 (DA 07-1435), this
letter notifies the Commission that on June 16, 2008, Mel Karmazin, Chief
Executive Officer of Sirius Satellite Radio Inc. (“Sirius”), and Commissioner
Jonathan Adelstein discussed pending issues raised in recent filings in the above referenced
proceeding, including the previously filed voluntary commitment letter.
Mr. Karmazin reiterated positions consistent with the Sirius’ filings in thisproceeding, and urged prompt approval of the pending merger.

Final Concessions filed by Sirius XM

Programming.
1. A La Carte Programming: The combined company will offer the following a la
carte programming options:

• 50 Channels will be available for $6.99 a month and will allow consumers
to choose either 50 Sirius channels from approximately 100 Sirius
channels or 50 XM channels from approximately 100 XM channels.
Additional channels can be added for 25 cents each, with premium
programming priced at additional cost. However, in no event will a
customer subscribing to this a la carte option pay more than $12.95 per
month for this programming.

• 100 Channels will be available on an a la carte basis for $14.99 a month.
This a la carte option will allow Sirius customers to choose from the Sirius
programming line-up and some of the best of XM’s programming, and
XM customers to choose from the XM programming line-up and some of
the best of Sirius’ programming.
Within three months of the consummation of the pending merger, the first a la
carte-capable radios will be introduced in the retail after-market and the
combined company will commence offering a la carte programming.

2. “Best of Both” Programming: Within three months of the consummation of the
pending merger, the combined company will offer customers the ability to
receive the best of both Sirius and XM programming. Current XM customers
will continue to receive their existing XM service, and be able to obtain select
Sirius programming. Likewise, current Sirius customers will continue to
receive their existing Sirius service, and be able to obtain select XM
programming. This “best of” programming will be the same “best of”
programming included as part of the 100 Channel A La Carte offering, and will
be available at a monthly cost of $16.99.

3. Mostly Music or News, Sports and Talk Programming: Within three months of
the consummation of the pending merger, customers will have the option of
choosing an option of “mostly music” programming. Subscribers will also be
able to choose an option of news, sports and talk programming. Each of these
programming options will be available on existing satellite radios at a cost of
$9.99 per month.

4. Discounted Family-Friendly Programming: Within three months of the
consummation of the pending merger, consumers will be able to purchase a
“family-friendly” version of existing Sirius or XM programming at a cost of
$11.95 a month, representing a credit of $1.00 per month. Current Sirius
customers will also be able to choose a family-friendly version of Sirius
programming that includes select XM programming, and current XM
customers can choose a family-friendly XM programming option that includes
select Sirius programming. This programming will cost $14.99 per month,
representing a credit of $2.00 per month from the cost of the “best of”
programming.
These programming options were previously described in the companies’ July 24, 2007
joint filing and are subject to individual channel changes in the ordinary course of
business and, in the case of certain programming, the consent of third-party programming
providers.

Public Interest and Qualified Entity Channels. The combined company will set aside
four percent of the full-time audio channels1 on the Sirius platform and on the XM

entertainment or audio programming broadcast on a continuous basis, 24 hours a day, seven days a week,
plus part-time channels aggregated on a full-time equivalent basis, on the Sirius platform or the XM
