SIRIUS XM to Broadcast the 2010 Masters Live Nationwide

SIRIUS XM announced that it will offer live hole-by-hole coverage of the 2010 Masters Tournament from Thursday, April 8, through Sunday, April 11, nationwide on XM channel 146 and on SIRIUS channel 209 with the “Best of XM” programming package.

SIRIUS XM listeners will get extensive coverage with live play-by-play from Augusta National, plus expert analysis leading up to and throughout the event.

Live broadcasts from Augusta will begin at 12:00 pm ET Thursday through Sunday of Masters Week with The Masters Today, a daily preview show that will lead into each day’s on-course play-by-play. The live hole-by-hole coverage will air from 2:00 pm ET through the end of each day’s play giving fans live reports from around the course and access to golfers on and off the leader board. On-course coverage will be immediately followed by a nightly wrap-up show, Masters Replay, that will include a recap of the day’s action with highlights, analysis and interviews with players.

In addition to the live tournament coverage, SIRIUS XM offers a daily lineup of talk shows on XM channel 146 and SIRIUS channel 209 (“Best of XM”), featuring compelling golf talk and expert analysis. In the wake of Tiger’s announcement, speculation about the state of his game is high and SIRIUS XM’s hosts will cover the discussion from every angle, monitoring Tiger’s performance in practice and on the course, interviewing players, and offering a place for fans to call in and express their opinions on Woods’ return.

Fans can tune in every weekday morning from 7:00 am to 12:00 pm ET for live call-in talk shows hosted by golf experts Matt Adams, Brian Katrek and Peter Kessler. Longtime PGA TOUR professional Chris DiMarco hosts his weekly talk show, oPINionated, every Tuesday at 5:00 pm ET with replays throughout the week.

SIRIUS XM Receives NASDAQ Letter Regarding Minimum Bid Price Rule

Just over two weeks after breaking the $1.00 mark Sirius Xm Radio announced that it has received a letter from the staff of The NASDAQ Stock Market stating that the Company has not regained compliance with the $1.00 minimum closing bid price requirement for continued listing on The NASDAQ Global Select Market under NASDAQ Listing Rule 5450. The Company will request a hearing before a NASDAQ Listing Qualifications Panel at which it will ask for continued listing on NASDAQ pending its return to compliance. As a result, the NASDAQ staff’s letter has no effect on the listing of SIRIUS XM’s common stock at this time.

“SIRIUS XM is one of the most liquid securities on The NASDAQ Global Select Market; we have a large investor base consisting of both individual and prominent institutional stockholders; and our equity capitalization is greater than approximately 92% of the companies listed on The NASDAQ Global Select Market. We are committed to remaining listed on The NASDAQ Global Select Market,” said Mel Karmazin, Chief Executive Officer of SIRIUS XM.

SIRIUS XM has an equity capitalization of over $5.8 billion and an enterprise value of nearly $8.8 billion. In 2009, the Company had revenue of over $2.5 billion. Over 3.7 billion shares of the Company’s common stock are available in the public float.

In addition, the NASDAQ OMX Group, Inc. has announced that the Company’s common stock will be added to the NASDAQ Q-50 Index effective with the market open on Monday, March 22, 2010. The Q-50 Index is designed to track the performance of the fifty securities that are next in line to replace the securities currently included in the NASDAQ-100 Index.

The Company intends to take all necessary steps to maintain the listing of its common stock on The NASDAQ Global Select Market. The Company’s stockholders have granted the Company’s board of directors the discretion to effect a reverse stock split, which would bring the Company into compliance with the NASDAQ bid price requirement. However, the board of directors intends to effect the reverse stock split only if it determines the action to be in the best interests of stockholders.

Under NASDAQ’s current Listing Rules, the Panel may grant the Company up to an additional 180 days from the date of the staff’s letter, or through September 13, 2010, to comply with the NASDAQ bid price requirement.

SIRIUS XM to Broadcast Every Game of the 2010 NCAA Division I Men’s Basketball Championship

SIRIUS XM Radio announced that every game of the 2010 NCAA Division I Men’s Basketball Championship will air nationwide on both SIRIUS and XM, offering listeners uninterrupted access to play-by-play of every match-up from the opening round game on March 16 through the Final Four and National Championship game in Indianapolis on April 3-5.

For the first time, tournament games will be available to both SIRIUS and XM listeners. Every game will air in its entirety, with no blackouts, on SIRIUS channels 122, 125, 126, 90 and 91 and XM channels 143, 241, 242, 243 and 244. Second round games on March 20 and 21 will also air on Mad Dog Radio, SIRIUS channel 123 and XM channel 144. SIRIUS XM’s Steve Torre will anchor the coverage on these channels, providing up-to-the-minute scores and highlights during game breaks and directing listeners to other games around the dial.

Tournament match-ups and SIRIUS and XM channel assignments will be available at www.sirius.com/collegesports and www.xmradio.com/collegesports starting Monday, March 15.

On Selection Sunday, March 14, Mad Dog Radio will air a special Mad Dog Radio Tournament Selection Show live from 6:00 to 9:00 pm ET. Host Gary Williams will provide listeners with live updates as tournament teams and match-ups are announced, and will interview special guests, including team coaches and selection committee chairman Dan Guerrero. College basketball fans around the country can call in to the show to talk live with Williams and share their reactions and opinions as the field of 65 is revealed.

Throughout the tournament, SIRIUS and XM listeners can tune in to several exclusive sports talk shows that will offer comprehensive tournament coverage.

Duke University coach Mike Krzyzewski will continue to host his weekly talk show, Basketball and Beyond with Coach K, throughout the tournament. Listeners can hear the show Wednesday evenings (8:00 pm ET/5:00 pm PT) on Mad Dog Radio. Additionally, Coach K will join Chris ‘Mad Dog’ Russo on Russo’s show, Mad Dog Unleashed (airing weekdays, 2:00-7:00 pm ET), at various times during the tournament for updates.

Rivals Radio, the college sports talk show hosted by Bill King and Chris Childers, airs every weekday morning (7:00-11:00 am ET) on SIRIUS XM Sports Nation, SIRIUS channel 122 and XM channel 143.

Listeners can also tune in for live sports talk all day every day on Mad Dog Radio (SIRIUS channel 123 and XM channel 144), where hosts will discuss all the latest news from the tournament with college hoops fans across the country. On Friday, April 2 (6:00-10:00 am ET) and Saturday, April 3 (10:00 am – noon ET), Gary Williams will host special editions of The First Word live from Indianapolis.

SIRIUS XM will also broadcast games from the NCAA Division I Women’s Basketball Championship, providing listeners from coast to coast with full coverage of every regional final, the Final Four and the Women’s championship game.

SIRIUS XM Radio will embark on its 2010 Spring Training Tour on Friday, March 5, taking listeners to 30 Major League Baseball Spring Training sites in three weeks. MLB Home Plate, SIRIUS XM’s 24-hour baseball talk channel, and Mad Dog Radio, SIRIUS XM’s all-sports talk channel, will broadcast live from ballparks in Arizona and Florida, offering baseball fans an in-depth look at every Major League club and one-on-one interviews with managers, players and team executives.

On MLB Home Plate (XM channel 175, SIRIUS channel 210 with the “Best of XM”), Hall of Famer Cal Ripken Jr., former Reds and Nationals general manager Jim Bowden, former Rangers and Red Sox manager Kevin Kennedy, and host Casey Stern will cover Arizona’s Cactus League, hosting Inside Pitch (1:00-4:00 pm ET/10:00am-1:00pm PT) from 10 ballparks in and around the Phoenix area from March 5-14. Doctor Radio Reports: Our Aging Parents, hosted by Perri Peltz, will air live March 5 at 10:00 am ET on Doctor Radio, SIRIUS channel 114 and XM channel 119. It will replay March 5 at 3:00 pm, March 6 at 2:00 pm and 8:00 pm ET and March 7 at 7:00 am, 12:00 pm and 9:00 pm ET.

- 2009 Pro Forma Revenue of $2.53 Billion, Up 4% Over 2008 – Free Cash Flow of Over $185 Million, First Full Year of Positive Free Cash Flow – Pro Forma Adj. Income From Operations of $463 Million, a $599 Million Improvement Over 2008 – 2010 Guidance Updated

SIRIUS XM Radio today announced full year 2009 results, including pro forma 2009 revenue of $2.53 billion, up 4% over 2008 pro forma revenue of $2.44 billion, and pro forma adjusted income from operations of $463 million, versus ($136) million in 2008.

“2009 was a notable year of firsts for SIRIUS XM: The first full year of positive pro forma adjusted income from operations and the first full year of positive free cash flow in the company’s history,” said Mel Karmazin, the Chief Executive Officer of SIRIUS XM. “We demonstrated considerable operating momentum in the fourth quarter – the addition of over 250,000 subscribers, ARPU growth, revenue growth, improved SAC, and continued operating cost reductions. These gains position us to deliver on our 2010 guidance.”

In the fourth quarter 2009, the Company’s pro forma average revenue per subscriber (ARPU) grew to $10.92 from $10.65 in the fourth quarter of 2008. The average self-pay monthly customer churn rate was 2.0% in the fourth quarter of 2009, as compared with 1.8% in the fourth quarter of 2008.

Fourth quarter of 2009 pro forma revenue was $684 million, up 6% from fourth quarter 2008 pro forma revenue of $644 million. Subscriber acquisition costs (SAC) per gross subscriber addition was $64 in the fourth quarter of 2009, an improvement of 9% over the $70 in SAC per gross subscriber addition in the fourth quarter of 2008.

In the fourth quarter of 2009, SIRIUS XM achieved pro forma adjusted income from operations of $115 million as compared with $32 million in the fourth quarter of 2008. Free cash flow in the quarter of 2009 was $150 million compared to $26 million in the fourth quarter of 2008. The pro forma fourth quarter 2009 net loss was ($25) million as compared with ($248) million in the fourth quarter of 2008. On a GAAP basis, the fourth quarter 2009 net income was $14 million compared to a loss of ($246) million in the 2008 quarter.

“The $599 million improvement in full-year pro forma adjusted income from operations illustrates the strength of our business model and also demonstrates the economic benefit generated by the SIRIUS-XM merger in July 2008,” said David Frear, the Company’s Executive Vice President and Chief Financial Officer. “With over $380 million in cash, positive free cash flow and continued growth in adjusted income from operations, our financial condition has never been stronger,” Frear added.
